Terms and Conditions of Service for Specialist Coaches
1. Engagement and Scope of Services1.1 As a Specialist Coach (“Coach”) registered with Perspectives Consultants (“Consultancy”), you agree to provide professional business coaching, advisory, facilitation, research and related services to clients as assigned by the Consultancy.
1.2 Services include in-person assignments at clients premises, virtual coaching sessions, mentoring, facilitation, and participation in relevant training or program activities aligned with client needs and Consultancy standards.
2. Continuous Professional Development 

2.1 Consultants and Coaches are required  to attend continued professional development training annually be it Individual training sessions or webinars relevant to the Coach’s field of expertise.
2.2 Coaches are required to attend at least two (2) CPD sessions per year in their specialist area to remain in good standing.
2.3 Coaches must notify Perspectives Consultants of all CPD activities attended, providing supporting documentation for points accrued upon request.
3. Knowledge Contribution3.1 The Coach agrees to contribute knowledge to the Stimulus Business Partner Knowledge repository by doing any one of the following:
3.1.1 Contributing one full-length professional article (approximately 750-1000 words) bi-monthly (6 articles a year) related to their area of expertise.
3.1.2 Contributing four (4) video tutorials or downloadable resource templates and giving Stimulus  a Creative Commons licence to Stimulus for free distribution to SBP Members (https://creativecommons.org)
3.1.3 Facilitating/speaking at three (3) virtual or in-person events or trainings annually pro-bono.
3.2 Articles must be original, relevant, and meet quality standards as determined by Perspectives Consultants.
3.3 The Consultancy reserves the right to review, edit, and publish contributions with appropriate author attribution.
4. Confidentiality 
4.1 The Coach shall maintain strict confidentiality of all client information and any proprietary or sensitive information disclosed during the course of engagements with Perspectives Consultants or its clients.
4.2 Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.
4.3 This obligation of confidentiality extends beyond the termination of this agreement.
 
5. Payment and Fees
5.1 Perspectives Consultants will collect the full consultancy fee from the client and pay the Consultant  | Coach.
5.2 The Consultancy shall set the fees to be charged to the client which the Consultant | Coach agrees to work within with the following minimum parameters:
Hourly rate minimum: USD $60
Half Day (3hrs) rate minimum: USD $100
Full Day (6hrs) rate minimum: USD $200
5.3 Charges an administration fee for the placement and processing of retains a fee of:
15% of the total consultancy value or USD $100, whichever is greater, for assignments longer than 2 hours.
flat fee of USD $35 for assignments shorter than 2 hours.
5.4 The Coach will receive the remaining balance after deduction of the Consultancy fees and any applicable taxes.
5.5 Payments to the Coach will be processed within seven (7) business days after successful completion of the assignment, submission of all required deliverables and payment from client.
6. Professional Conduct and Commitment

6.1 The Coach shall adhere to the highest standards of professionalism, ethics, and integrity in all engagements.
6.2 The Coach commits to delivering services punctually, communicating proactively, and reporting progress as required.
6.3 The Coach shall be capable of delivering virtual coaching using agreed-upon platforms.
7. Non-Compete and Circumvention7.1 The Coach agrees that during its engagement with the Consultancy and for a period of five (5) years following the last assignment date, they will not, directly or indirectly, solicit, contract with, or provide coaching or consulting services to any client introduced through Perspectives Consultants without prior written consent from the Consultancy.
7.2 The Coach further agrees not to circumvent the Consultancy by bypassing or attempting to bypass Perspectives Consultants to engage with clients or related parties introduced during or after the consultancy relationship.
8.  Intellectual Property
8.1 All coaching materials, methodologies, frameworks, and resources provided,  developed by Perspectives Consultants or co-created with the consultant during a paid assignment, remain the exclusive intellectual property of the Consultancy unless expressly stated otherwise in writing.
8.2 The Coach retains copyright ownership of any original content they create independently but grants Perspectives Consultants a non-exclusive, royalty-free license to use, reproduce, distribute, and promote such content across its platforms.
8.3 The Coach agrees not to use Perspectives Consultants’ intellectual property for purposes outside the scope of their engagement without prior written consent.
 
9. Liability and Indemnity

9.1 Perspectives Consultants is not liable for any business decisions, outcomes, or damages arising from coaching or consulting services.
9.2 Coaches indemnify Perspectives Consultants against any claims arising from their conduct or advice during assignments.
10. Termination
10.1 Either party may terminate the coaching engagement with 14 days’ written notice.
10.2 Perspectives Consultants reserves the right to terminate immediately for breach of terms, professional misconduct, or failure to meet performance standards.
11. Amendments
11.1 Perspectives Consultants may update these terms with 30 days’ written notice to Coaches /Consultants.
